Terms of Business


1) Quotations

Prices quoted for any project are fixed and include all necessary consultation and research as well as up to two sets of revisions.  Any further revisions will be charged at our hourly rate.  We reserve the right to amend charges should the conditions be altered by the client after our initial agreement (e.g. additional information, changes to project, alteration of deadlines).


Charges apply to the project as defined by the client.  If subsequently the work produced by us is not used – in whole or in part – this will not incur a reduced fee.


Our service works primarily through electronic communication – by telephone or email.  However, if you prefer face-to-face meetings we will attend an initial discussion free of charge within 20 miles of Worthing, West Sussex.  Greater distances will incur travel expenses and additional meetings will be chargeable.


2) Contract

A working contract will be established between us when we receive email confirmation that you wish to proceed.  This will be in reply to our own e-mail setting out the specifics of our agreement and will include your confirmation that you have read and agree to the terms and conditions set out on the website.


If you represent a company or organisation you warrant that you are authorised to enter into contract on their behalf.  If you are using our services for a third party through a marketing agency or web development company then the contract is between Nexus Copywriting and the agency or company arranging the work.  You agree to indemnify Nexus Copywriting against any claim for compensation or damages by your client in relation to the work we produce for you.


3) Cancellation

If at any point the client cancels the project they will be liable for the time expended to that point.


If through illness or personal reasons we are not able to complete a project the client will not be invoiced for any of the work completed but will be able to purchase that work at a price commensurate with the time expended.


In the very unlikely event that we are not able to complete a project due to unforeseen circumstances you agree that Nexus Copywriting will not be liable for any costs incurred by the inability to complete the contract.


4) Payment

Once the final copy has been accepted by the client our invoice will be submitted.  Payment is due within 30 days of submission unless otherwise agreed in writing.  The latest date for payment in full will be clearly stated in the invoice.


In the case of large projects or new clients we reserve the right to levy a 50% deposit at the commencement of the project.


The price initially agreed is the price payable.  You have no right to withhold any part of the payment due to critical assessments of the copy.

If the project is cancelled by you for any reason the cost of time expended on the project to that point will be payable within 30 days of our revised invoice.


Where payment is not received within 5 working days of the due date specified on the invoice we reserve the right to charge interest. This is in line with the ‘Better Payment Practice’ guidelines, to which Nexus Copywriting is a signatory.  The current late payment interest rate is 8% plus the Bank of England reference rate. The current reference rate for the period 1st July 2012 to 31st December 2012 is 0.5%.  In addition, legislation also provides for a set compensation entitlement for late payments, dependent upon the size of the debt.

Payments which are overdue for more than 30 days will be subject to legal action.


We prefer electronic payment but cheques are accepted.



5) Client Submissions

Frequently clients will pass sample drafts to us as part of the information-gathering process.  This may include ideas or text produced by the clients themselves for illustrative purposes.  It is the client’s responsibility to make clear any copyright issues relating to ideas or information supplied.  You affirm that any material submitted to Nexus Copywriting that does not have clear copyright ownership beyond the client is under the client’s copyright.  Alternatively, you affirm that you have the permission of the copyright owner to use this material for the purposes of constructing new work for the contract.  In these circumstances you agree to indemnify us against any subsequent claim of copyright infringement.


Clients may also provide material as exemplars of the copy they desire from a source unconnected with their company and for which they have no copyright.  In such cases Nexus Copywriting would of course endeavour to ensure our copy breaches no copyright. However, you will indemnify us against any action arising as a result of using such reference material.


6) Project Completion

When you are satisfied with the final version of the project you must confirm your acceptance of all legal responsibility for the document(s).  Nexus Copywriting takes pride in the accuracy of its work but it is the client’s final responsibility to check and accept the copy.


Once you have accepted the work – either by email confirmation with the relevant documents attached or by signed hard copy – then you accept all legal responsibility for its content. If thereafter errors appear in print – either textual or factual – Nexus Copywriting will have no liability for any costs incurred.  Neither will we be liable for any legal action taken against the client in relation to any part or aspect of the copy.


Upon completion of the project the right to use all material produced is transferred to you only when we have received full and final payment.


Nexus Copywriting reserves the right to use copy samples free of charge for promotional purposes unless the client specifically declines.


We aim to complete all our projects swiftly and by the agreed timescale.  However, as a small company we can be affected by unexpected circumstances and therefore reserve the right to put back delivery dates by 48 hours from those agreed, on the understanding that you are notified of the delay no later than 24 hours before the agreed delivery date.


7) Confidentiality & Non-Disclosure Agreement

Nexus Copywriting will not disclose to any third party information obtained from the client as part of projects undertaken.  We are registered with the Information Commissioner’s Office (reg. no. Z254275X) and abide by all regulations for data protection.
